Terms of Service

1. Eligibility

You must be at least 18 years of age to register as a Trainer on PlayerRX. Players under 18 may only use the Service with the express consent of a parent or legal guardian, who agrees to these Terms on the minor's behalf and accepts full responsibility for the minor's use of the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

2. Accounts and Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@playerrx.com of any unauthorised use of your account. PlayerRX is not liable for any loss or damage arising from your failure to protect your account credentials.

You agree to provide accurate, current, and complete information during registration and to keep that information up to date. We reserve the right to suspend or terminate any account we determine, in our sole discretion, to contain false, inaccurate, or misleading information.

3. Subscription and Payment

3.1 Subscription Plans. Access to the Trainer features of PlayerRX requires an active paid subscription. The current subscription fee is $19.99 per month (or such other price as we may publish from time to time). Subscriptions are billed on a recurring monthly basis.

3.2 Price Changes. We reserve the right to change subscription pricing at any time. We will provide at least 30 days' notice of any price increase via email or in-app notification. Continued use of the Service after the price change takes effect constitutes your acceptance of the new price.

3.3 Automatic Renewal. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorise PlayerRX and its payment processor (Stripe) to charge your payment method on a recurring basis.

3.4 No Refunds. ALL FEES PAID ARE NON-REFUNDABLE. This includes but is not limited to: monthly subscription fees, partial months, unused periods following cancellation, and any fees incurred during free trial periods (if offered). We do not provide refunds or credits for any reason, including if you cancel mid-period, if you do not use the Service, or if we modify, suspend, or discontinue any part of the Service. By subscribing, you expressly waive any right to a refund.

3.5 Cancellation. You may cancel your subscription at any time through your account settings or by contacting us at support@playerrx.com. Cancellation takes effect at the end of your current billing period. You will retain access to Trainer features until that date. After cancellation, your account will revert to a restricted state and your player data will be retained for 90 days before permanent deletion, unless you request earlier deletion.

3.6 Failed Payments. If a payment fails, we may suspend your access to the Service until payment is successfully processed. We reserve the right to terminate accounts with sustained failed payments after reasonable notice.

3.7 Taxes. You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. PlayerRX is not responsible for collecting, reporting, or remitting taxes on your behalf, except as required by law.

4. Acceptable Use

You agree not to use the Service to:

• Upload, transmit, or distribute any content that is unlawful, defamatory, obscene, threatening, harassing, or otherwise objectionable;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity;
• Collect or harvest any personally identifiable information from other users without their consent;
• Use the Service for any commercial purpose not expressly authorised by PlayerRX;
• Attempt to gain unauthorised access to any part of the Service, its servers, or any connected systems;
• Introduce any virus, malware, or other harmful code;
• Violate any applicable local, state, national, or international law or regulation.

We reserve the right to investigate and take appropriate action against any violation of these provisions, including immediate account termination without notice and without refund.

5. User Content

You retain ownership of any content you submit, upload, or display through the Service ("User Content"). By submitting User Content, you grant PlayerRX a worldwide, non-exclusive, royalty-free, sublicensable licence to use, reproduce, modify, adapt, publish, and display that content solely for the purposes of operating and improving the Service.

You represent and warrant that you own or have the necessary rights to all User Content you submit, and that such content does not infringe any third-party intellectual property, privacy, or other rights.

PlayerRX does not endorse any User Content and expressly disclaims all liability in connection with User Content.

6. Intellectual Property

The Service, including all software, design, text, graphics, logos, and other content created by PlayerRX, is the exclusive property of David Copeland-Smith, Beast Mode Soccer LLC, and PlayerRX, protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purposes during the term of your subscription. No other rights are granted.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any part of the Service without our express prior written consent.

7. Third-Party Services

PlayerRX uses third-party services including Stripe (payment processing), Supabase (database and authentication), and Resend (email delivery). Your use of these services is subject to their respective terms and privacy policies. PlayerRX is not responsible for the acts or omissions of any third-party service provider.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PLAYERRX, DAVID COPELAND-SMITH, AND BEAST MODE SOCCER LLC EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

PLAYERRX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PLAYERRX DOES NOT WARRANT THAT ANY DEFECTS WILL BE CORRECTED OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS.

Health and Fitness Disclaimer. PlayerRX is a sports performance tracking and coaching tool. It is not a medical service and does not provide medical advice, diagnosis, or treatment. Always consult a qualified medical professional before beginning any new training programme. PlayerRX, David Copeland-Smith, and Beast Mode Soccer LLC are not liable for any injury, illness, or adverse health outcome arising from use of the Service or any training programme facilitated through the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PLAYERRX, DAVID COPELAND-SMITH, BEAST MODE SOCCER LLC, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO PLAYERRX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless PlayerRX, David Copeland-Smith, Beast Mode Soccer LLC, and each of their respective officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; (d) your violation of any third-party rights; or (e) your violation of any applicable law or regulation.

11. Termination

We reserve the right to suspend or terminate your access to the Service, with or without notice, and without liability to you, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Service immediately ceases.

All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnification, and limitations of liability.

12. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and, where applicable, the laws of the state in which Beast Mode Soccer LLC is registered, without regard to conflict of law principles.

Informal Resolution. Before filing any formal claim, you agree to contact us at support@playerrx.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration. If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding. YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.

Class Action Waiver. YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

14. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and PlayerRX with respect to the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure. PlayerRX shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.
